1. Agreement to Terms

By engaging our web development services, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and our company for all web development, web application, and related digital services.

2. Services Provided

We provide professional web development services including:

• Custom website development
• Web application development
• E-commerce solutions
• Website maintenance and support
• API development and integration
• Database design and optimization
• Website hosting setup and configuration
• Mobile Applications

3. Project Process

3.1 Project Phases

1. Discovery: Requirements gathering and project planning
2. Design: Creating mockups with up to 2 revision rounds
3. Development: Building your website or application
4. Testing: Quality assurance and bug fixes
5. Launch: Deployment and go-live
6. Support: 30-day post-launch support included

3.2 Client Responsibilities

• Provide content, images, and materials in a timely manner
• Give feedback within 5 business days
• Provide necessary access to systems and accounts
• Communicate requirements clearly

4. Payment Terms

4.1 Payment Structure

• Projects under $5,000: 50% deposit, 50% on completion
• Projects $5,000-$15,000: 40% deposit, 30% midway, 30% on completion
• Projects over $15,000: 30% deposit, then monthly milestones

4.2 Payment Methods

We accept payments via:

• Credit/debit cards (Visa, Mastercard, American Express, Discover)
• ACH bank transfers
• Wire transfers (international clients)

All payments are processed securely through Stripe.

4.3 Late Payment Policy

• Invoices are due within 15 days
• Late payments incur 1.5% monthly interest
• Work may pause for payments overdue by 30+ days

5. Intellectual Property Rights

5.1 Ownership

Upon final payment:

• You own all custom code and designs we create
• You retain ownership of your provided content
• Third-party licenses remain with their original terms

5.2 Portfolio Rights

We reserve the right to showcase your project in our portfolio unless you request otherwise in writing.

6. Warranties and Limitations

6.1 Our Warranty

• Professional quality work
• Code free from material defects for 30 days
• Compliance with agreed specifications

6.2 Limitations

We are not responsible for:

• Business performance or revenue
• Third-party service failures
• Content you provide
• Changes made after delivery

7. Confidentiality

We maintain strict confidentiality of your business information and will not share your data with third parties except as necessary to complete your project.

8. Termination

Either party may terminate the agreement with written notice. Upon termination, you must pay for all work completed. See our Project Cancellation Policy for detailed terms.

9. Governing Law

These terms are governed by the laws of the State of New York. Any disputes shall be resolved in the courts of New York County, New York.
